Terms and Conditions 1. Acceptance of Terms By engaging the services of Archia Studio, you agree to be bound by the following terms and conditions. These terms and conditions may be updated without prior notice, so please review them periodically. 2. Services Archia Studio provides a range of digital services, including but not limited to website design, development, and digital marketing. The specific services provided will be outlined in a separate service agreement. 3. Domain Name and Hosting * Ownership: The domain name registration and hosting services will be under the ownership of Archia Studio. * Privacy: We can hide the name of the registrant and hosting provider to maintain privacy. * Transfer: The client may not transfer the domain name and hosting services to another provider. Any transfer requests will be subject to additional charges. 4. Payment * Payment Terms: Payment for services, including domain name registration and hosting fees, is due upfront. * Late Payments: Late payments may incur additional fees or penalties. 5. Revisions The number of revisions included in the project scope will be defined in the service agreement. Additional revisions may be subject to additional charges. 6. Intellectual Property Upon full payment for the services, the client will own the final deliverables, including the website design and content. However, Archia Studio retains ownership of the underlying code and design templates. 7. Limitation of Liability Archia Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of the services or any products provided by Archia Studio. 8. Termination Either party may terminate the agreement upon written notice to the other party. In the event of termination, Archia Studio will provide a final deliverable, if applicable. 9. Governing Law These terms and conditions shall be governed by and construed in accordance with the laws of Indian Penal Court. 10. Dispute Resolution Any disputes arising out of or in connection with these terms and conditions shall be resolved through negotiation or mediation. If negotiation or mediation fails, the dispute shall be resolved by arbitration in Indian Penal Court. Refund Policy Due to the nature of the services provided, including the outsourcing of work and the registration of domain names, no refunds will be issued once the project has commenced or the domain name has been registered. 12. Modification of Terms Archia Studio reserves the right to modify or amend these Terms and Conditions at any time, without prior notice. Any such modifications will be effective immediately upon posting 1 on our website or upon notification to the Client. By continuing to use our services after any modifications, the Client agrees to be bound by the revised Terms and Conditions. 13. Intellectual Property Rights * Ownership: Unless otherwise specified in a separate agreement, Archia Studio retains all intellectual property rights to the designs, code, and other materials created for the Client. * Usage Rights: The Client is granted a non-exclusive, non-transferable license to use the delivered materials for their specific project. 14. Confidentiality Both parties agree to keep confidential any proprietary information disclosed during the course of the project. This includes, but is not limited to, business plans, financial information, and trade secrets. 15. Force Majeure Neither party shall be liable for any delay or failure to perform its obligations under this Agreement due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, natural disasters, and government regulations. 16. Entire Agreement This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written. 17. Severability If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck from this Agreement and the remaining provisions shall remain in full force and effect.
